Agreement
These Terms of Service (“Terms”) form a legal agreement between you and Chico (“we”, “us”) regarding your access to and use of our website, apps, and related services (together, the “Service”). If you do not agree, do not use the Service.
The Service
Chico provides tools to capture and organize information in structured lists. We may change, suspend, or discontinue features or the Service as a whole. We will try to give reasonable notice for changes that materially affect paid customers when billing is in effect, as described at checkout or in product communications.
Accounts
You may need an account to use parts of the Service. You agree to provide accurate information and to keep your login credentials confidential. You are responsible for activity under your account. Notify us through in-app support if you believe your account was compromised.
Acceptable use
You agree not to:
- Use the Service in violation of law or the rights of others;
- Attempt to gain unauthorized access to systems, data, or other users’ accounts;
- Interfere with or overload the Service (for example by automated abuse or excessive load);
- Reverse engineer or scrape the Service except as allowed by applicable law;
- Use the Service to distribute malware, spam, or harmful content.
We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.
Your content
You retain rights to content you submit. To operate the Service, you grant us a non-exclusive license to host, store, process, and display your content only as needed to provide and improve the Service (including sync, backups, and security). You represent that you have the rights needed to submit your content.
Privacy
Our Privacy Policy explains how we handle personal information. It is incorporated into these Terms by reference.
Third parties
The Service may rely on third-party providers (for example authentication or cloud infrastructure). Their terms and privacy practices apply where you interact with them. We are not responsible for third-party services we do not control.
Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
Limitation of liability
To the fullest extent permitted by law, Chico and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our aggregate liability for any claim arising out of these Terms or the Service is limited to the greater of (a) the amount you paid us for the Service in the twelve months before the claim or (b) fifty U.S. dollars (USD $50), except where liability cannot be limited under applicable law.
Indemnity
You will defend and indemnify Chico against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your content, your misuse of the Service, or your violation of these Terms, to the extent permitted by law.
Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or we need to protect the Service. Provisions that by their nature should survive (including disclaimers, limitations of liability, and indemnity) will survive termination.
Changes to these Terms
We may update these Terms from time to time. We will post the new version on this page and update the effective date. If a change is material, we will provide additional notice when practical (for example by email or in-app message). Continued use after the effective date constitutes acceptance of the updated Terms, except where applicable law requires otherwise.
General
These Terms are the entire agreement between you and Chico regarding the Service and supersede prior understandings on this subject. If a provision is unenforceable, the remaining provisions stay in effect. Failure to enforce a provision is not a waiver. Nothing in these Terms creates a partnership or agency relationship.
Governing law
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, except where mandatory local law requires otherwise.
